InnerSmith Terms of Service
Version 1.0 · Effective date: October 28, 2026 · InnerSmith, Inc.
If you are in crisis
- InnerSmith is not an emergency or crisis service.
- If you're thinking about harming yourself or someone else, call or text 988 (the 988 Suicide & Crisis Lifeline) or call 911.
- Outside the United States, findahelpline.com lists free local helplines.
These Terms of Service ("Terms") are an agreement between you and InnerSmith, Inc. ("InnerSmith", "we", "us") covering the InnerSmith app and website (the "Services"). By creating an account or using the Services, you agree to these Terms. Our Privacy Policy explains how we handle your information.
Please read section 19 carefully. It requires you and InnerSmith to resolve most disputes through binding individual arbitration rather than in court, and it waives class actions and jury trials. You can opt out of arbitration within 30 days of first accepting these Terms by following the steps in section 19.7.
1. Who can use InnerSmith
You must be 18 or older to use the Services, and at launch they're offered in the United States only. If we learn that someone under 18 has an account, we'll close it and delete its information.
2. A wellness app, not healthcare
InnerSmith offers guided audio, reflection and conversation to support general wellbeing. It is not medical or mental health treatment, therapy, or spiritual or pastoral counseling, and it doesn't provide medical, psychological or other professional advice, diagnosis or treatment. InnerSmith is not a medical device and does not diagnose, treat, cure, or prevent any medical condition. It isn't a substitute for a qualified professional. Consult a doctor or other healthcare professional for medical advice, diagnosis or treatment, and don't delay seeking care because of something in the Services.
Please use the Services with care:
- Meditation and reflection can occasionally bring up difficult feelings or memories. If that happens, pause and, if you need to, seek support from a professional.
- Breathing techniques, tapping and movement are not suitable for everyone. Stop if you feel dizzy, faint, short of breath, panicky or unwell. If you're pregnant, or have a heart, lung, blood pressure, seizure, panic or other health condition, check with your doctor first.
- Never use sleep, relaxation or meditation content while driving, operating machinery, or doing anything that needs your full attention.
We don't promise any particular result from using the Services.
3. Crisis and emergencies
The Services are not an emergency or crisis service. InnerSmith cannot contact emergency services, family or anyone else for you. If you're thinking about harming yourself or someone else, or you're in danger, call 911 or go to your nearest emergency room. In the United States you can call or text 988 at any time.
4. AI features
The app doesn't include an AI chat feature. If we add one, we'll update these Terms before it launches, and the app will explain how it works and ask for your agreement before you use it. The voices that narrate our sessions are generated by AI, as section 7 explains.
5. Your account
You can sign in with Apple, Google or an email address. Keep your sign-in details secure; you're responsible for activity on your account. Tell us promptly at [email protected] if you think someone has used it without permission.
6. Subscriptions and the free trial
- Listening to sessions requires a paid subscription, bought through the Apple App Store and billed to your Apple account. Crisis resources, your settings and account deletion are always available without one. When the Android app is available, subscriptions will be sold through Google Play and billed to your Google account.
- Before you buy, the app shows the plan name, the billing period, the full renewal price, what is included, and the length of the free trial.
- Plans. At launch we offer two plans that include the same features: InnerSmith Monthly at US$19.99 per month and InnerSmith Yearly at US$99.99 per year. Prices are in US dollars, and any tax is applied as the store shows at checkout. The price shown in the app at the time you buy is the price that applies.
- Personal use. A subscription is for one person's use. It is not shared through Apple Family Sharing.
- Free trial. New subscribers get a 7-day free trial. When the trial ends, it becomes a paid subscription at the price shown, unless you cancel at least 24 hours before the trial ends. One trial per person.
- Automatic renewal. Your subscription continues and renews automatically at the end of each billing period, and your store account is charged the price shown, until you cancel. Cancel at least 24 hours before the current period ends to avoid the next charge.
- How to cancel. Open your Apple ID subscription settings (Settings › your name › Subscriptions on iPhone) or, on Android, the Google Play subscriptions page, and cancel there. Settings in the app has a "Manage subscription" link that takes you straight there. You keep access until the end of the period you've paid for. Deleting the app or your InnerSmith account does not cancel your subscription.
- Your record. After you subscribe we email you an acknowledgment stating the plan, price, renewal terms and how to cancel, so you have your own copy. Your store receipt is a second record.
- Price changes. If the price changes, we'll tell you at least 7 days (and no more than 30 days) before it takes effect and how to cancel, and the store will also ask for your agreement where its rules require it. You can cancel before the new price applies.
- Annual plans. If you have an annual plan, we send a reminder once a year with the plan, the charge, and how to cancel.
- Refunds. Refunds are handled only by Apple or Google under their policies. InnerSmith can't issue refunds for store purchases.
- Restore. Use "Restore purchases" on the subscription screen or in Settings to recover a subscription on a new device.
7. Our content
The Services, including audio, text, scripts, images and software, belong to InnerSmith. While these Terms apply and any required subscription is active, we give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for your own non-commercial purposes. The license ends when your subscription or account ends.
Audio is narrated using AI-generated voices. The narrators' names are names we gave those voices, not real people, and no narrator holds or claims any professional credential.
You may not:
- download content except through offline features inside the app, or record, rip, copy or redistribute audio, scripts or other content;
- scrape, harvest or extract content by automated means;
- use the Services or their content to train, test or improve artificial intelligence models, or to build datasets or competing products; or
- sell, publicly perform or commercially exploit the Services.
8. Copyright complaints
We respect the rights of creators. If you believe content in the Services infringes your copyright, email [email protected] or write to InnerSmith, Inc., Attn: Copyright, 2810 N Church St, Wilmington, DE 19802, with:
- the work you believe has been infringed, and where we can see it (for example a link);
- the InnerSmith content you're complaining about (title and, if you can, where it appears in the app);
- your name, address, email and phone number;
- a statement that you believe in good faith the use isn't authorized by the rights holder, their agent or the law, and that your complaint is accurate; and
- your physical or electronic signature, and whether you are the rights holder or authorized to act for them.
We review complaints promptly and remove or disable access to content while we investigate.
9. Your content
What you write belongs to you. Your journal entries stay on your device, and InnerSmith takes no rights to them. If you send us feedback or contact support, you allow us to use what you send to respond to you and improve the Services, without any obligation to you.
10. Acceptable use
You agree not to:
- use the Services in breach of any law or anyone else's rights;
- access the Services, other accounts or our systems without authorization, or interfere with how the Services work;
- reverse engineer or copy the Services except as the law expressly allows;
- resell or commercially exploit the Services.
11. Privacy
Our Privacy Policy and Consumer Health Data Privacy Policy explain how we collect, use and share information.
12. Changes to the Services and these Terms
We may change, add or remove features. If we make a material change to these Terms, we'll tell you in the app or by email at least 30 days before it takes effect. If you keep using the Services after that, the updated Terms apply; if you don't agree, stop using the Services and cancel any subscription. Changes don't apply to a dispute that arose before they took effect. If we change section 19 (Resolving disputes), you may reject the change by emailing [email protected] within 30 days of our notice; the previous version of section 19 then continues to apply to you.
13. Ending your use of the Services
You can stop using the Services and delete your account at any time in Settings. We may suspend or end your access if you seriously or repeatedly breach these Terms, if the law requires it, or if we stop offering the Services, with reasonable notice where we can. Sections 7 to 9 and 14 to 23 continue after these Terms end.
14. Disclaimers
To the fullest extent the law allows, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the Services will be uninterrupted, error-free or secure, or that any content is accurate or suitable for you. Some states don't allow certain disclaimers, so some of these may not apply to you.
15. Limitation of liability
To the fullest extent the law allows, InnerSmith and its officers, employees and suppliers won't be liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or goodwill, arising from the Services or these Terms. Our total liability for all claims relating to the Services is limited to the greater of (a) the amount you paid for InnerSmith subscriptions, through Apple or Google, in the 12 months before the claim arose, or (b) US$100.
These limits don't apply to liability for our gross negligence, willful misconduct or fraud, or to any liability that the law doesn't allow us to limit or exclude.
16. Indemnity
To the extent the law allows, you agree to indemnify InnerSmith against claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or misuse of the Services.
17. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for section 19. This doesn't take away any protection you have under the mandatory consumer laws of the state where you live.
18. Informal resolution first
Before starting arbitration or any court proceeding, you agree to email [email protected] or write to InnerSmith, Inc., 2810 N Church St, Wilmington, DE 19802, with your name, the email on your account, a description of the dispute and what you want us to do, and to try to resolve it with us informally for at least 30 days. We'll do the same if we have a dispute with you. Either of us may ask for a phone or video call during that period. Any deadline for filing a claim is paused while this step is under way.
19. Resolving disputes: binding individual arbitration
19.1 What this covers
You and InnerSmith agree that any dispute, claim or controversy between us arising from or relating to the Services, these Terms, our policies or your relationship with InnerSmith (a "Dispute") will be resolved by binding individual arbitration, except as set out in sections 19.2 and 19.7. This includes Disputes that arose before you accepted these Terms, and questions about whether this section applies, which the arbitrator decides. "InnerSmith" in this section includes our officers, directors, employees and agents.
19.2 What this doesn't cover
- Either of us may bring an individual claim in small claims court in your county of residence (or Wilmington, Delaware) if it qualifies there and stays there.
- Either of us may ask a court for a temporary order to stop infringement or misuse of intellectual property.
- Nothing stops you from making a complaint to a government agency, which may seek relief for you.
19.3 The arbitration
The arbitration is run by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and, where they apply, its Mass Arbitration Supplementary Rules, available at adr.org. If AAA can't or won't administer it, we'll agree on another national consumer arbitration provider, or a court will appoint one. A single neutral arbitrator decides the Dispute, applies the same law a court would, and can award the same individual relief a court could. The arbitration is held by phone or video, or in person in your county of residence if you prefer. The arbitrator's decision is final and may be entered in any court with jurisdiction.
19.4 Fees
If you start an arbitration seeking US$10,000 or less, InnerSmith pays the AAA filing, administration and arbitrator fees once you have paid your initial filing fee, and reimburses that filing fee if you win. For larger claims, fees are allocated under the AAA rules. If the arbitrator finds a claim or defense frivolous, the fees may be reallocated as the rules allow. Each side pays its own lawyers unless the law or the arbitrator provides otherwise.
19.5 No class actions, no jury
You and InnerSmith each waive the right to a jury trial and the right to take part in a class action, class arbitration, or representative action. The arbitrator may award relief only to the individual party seeking it and only to the extent needed for that party's own claim. If a court decides that this waiver can't be enforced for a particular claim or request for relief (for example, a request for a public injunction), that claim or request is severed and decided in court under section 19.8 after the arbitrator has decided everything else.
19.6 Many similar claims
If 25 or more similar Disputes are filed against InnerSmith with the help or coordination of the same or coordinated lawyers, the AAA Mass Arbitration Supplementary Rules apply, and the claims are handled in batches of up to 50, with one arbitrator and one set of fees per batch, chosen randomly. The parties will work with the AAA to resolve bellwether cases first and to mediate the rest. Any filing deadline is paused while a claim waits for its batch.
19.7 Your right to opt out
You can reject this arbitration agreement by emailing [email protected] or writing to InnerSmith, Inc., 2810 N Church St, Wilmington, DE 19802, with your name, the email address on your account and a clear statement that you opt out of arbitration, within 30 days of first accepting these Terms (or within 30 days of any change we make to this section, as section 12 explains). If you opt out, the rest of these Terms still apply, and Disputes go to court under section 19.8.
19.8 If a Dispute goes to court
Any Dispute that isn't arbitrated (because you opted out, because it's carved out, or because a court has held this section unenforceable for it) will be heard only in the state or federal courts located in Delaware, and you and InnerSmith consent to their jurisdiction, except that you may bring a qualifying small claim in your home county. To the extent the law allows, you and InnerSmith each waive the right to a jury trial.
19.9 Changes and survival
If InnerSmith changes this section after you accept these Terms, you may reject the change under section 12. This section survives the end of these Terms and the closing of your account.
19.10 Outside the United States
This section is written for users in the United States. If we later offer the Services in other countries, we'll publish separate dispute terms for them, and this section won't apply to consumers in those countries unless their law permits it.
20. Additional terms for the Apple App Store
If you downloaded the app from the Apple App Store, the following also applies:
- These Terms are between you and InnerSmith only, not Apple. InnerSmith, not Apple, is solely responsible for the app and its content.
- Your license to use the app is limited to Apple-branded products you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions, except that other accounts associated with you may access the app through Family Sharing where enabled.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent the law allows, Apple has no other warranty obligation for the app.
- InnerSmith, not Apple, is responsible for any claims relating to the app, including product liability claims, claims that it fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws.
- If a third party claims the app or your use of it infringes their intellectual property rights, InnerSmith, not Apple, is responsible for investigating, defending, settling and discharging the claim.
- You confirm you are not in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and are not on any US Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce them against you.
21. Google Play
If you downloaded the app from Google Play, your use is also subject to Google Play's terms, and subscriptions are billed and refunded through Google Play Billing under Google's policies. These Terms are between you and InnerSmith only, not Google.
22. General
These Terms, with our Privacy Policy and Consumer Health Data Privacy Policy, are the entire agreement between you and InnerSmith about the Services. If any part is found unenforceable, the rest stays in effect, except as section 19.5 provides. We may assign these Terms in a merger, acquisition or sale of assets; you may not assign them without our consent. Not enforcing a provision isn't a waiver.
